Ad hoc announcement pursuant to Art. 53 LR
9 March 2026, Zurich – The board of directors of Youngtimers AG, a Swiss-listed Company (SIX: YTME; the “Company”), today resolved to increase its share capital out of its capital band by CHF 1,926,276.24 through the issuance of 4,586,372 new bearer shares with a nominal value of CHF 0.42 each. This capital increase aims to further relief the Group from debt by way of a debt-to-equity swap and to raise additional cash after the successful capital increase of December 2025.
The issue price of the new shares was set at nominal value, i.e. CHF 0.42. The new shares shall be issued to a holder of notes under a bond (issued by the Company's subsidiary C Capital Corp. SA) that committed to convert claims into equity of the Company, a new shareholder investing US$ 1 million into the Company in cash, and existing strategic shareholder DL Holdings Group Limited investing US$ 0.5 million in cash upon having exercised a call option. The preferential subscription rights of the existing shareholders shall be excluded.
The capital increase will be implemented and the newly issued shares listed on SIX Swiss Exchange once the usual conditions are fulfilled.
In connection with the add-on capital increase, Youngtimers AG also decided to re-size the investment in the acquisition of Bitcoin mining equipment in the context of its previously announced Bitcoin-related treasury strategy. The re-sized total investment amounts to approximately US$ 3 million, of which approximately US$ 1.5 million will be financed from the Group’s treasury, and approximately US$ 1.5 million through leverage.
