Postponement of publication of annual report 2024 until May 31, 2025, and publication of preliminary unaudited key figures


April 29, 2025, Basel, Switzerland – Youngtimers AG (SWX: YTME; the "Company") has submitted a request to SIX Exchange Regulation AG ("SIX SER") to postpone the publication of the annual report 2024 and the filing of such report with SIX SER until May 31, 2025. The reason for the request is that the Company is still aligning with its auditors the 2024 annual financial statements, namely with regard to the consolidation of C Capital Acquisition Corp, which was acquired during the 2024 financial year.

The request was approved by SIX SER as follows (in German; informal English translation follows):

"I.  Die temporäre Befreiung der Publikation des Geschäftsberichts 2024 sowie die Einreichung dieses Berichts bei SIX Exchange Regulation AG bis spätestens Samstag, 31. Mai 2025 wird unter folgendem Vorbehalt (lit. a) und unter folgenden Bedingungen (lit. b) genehmigt:

a. SIX Exchange Regulation AG wird in der Regel den Handel mit Effekten von Youngtimers AG i.S.v. Art. 57 KR kurzfristig einstellen, wenn diese ihren Geschäftsbericht 2024 nicht bis spätestens am Samstag, 31. Mai 2025, 23.59 Uhr nach den Vorschriften zur Ad hoc-Publizität (Art. 53 Kotierungsreglement i.V.m. Richtlinie betr. Ad hoc-Publizität) veröffentlicht und bei SIX Exchange Regulation AG einreicht.

b. Youngtimers AG hat betreffend den vorliegenden Entscheid bis spätestens am Mittwoch, 30. April 2025, 7.30 Uhr, eine Medienmitteilung gemäss den Vorschriften zur Ad hoc-Publizität zu veröffentlichen. Diese Medienmitteilung hat:

-                  den vollständigen Wortlaut von Ziff. I des vorliegenden Entscheides an prominenter Stelle zu enthalten;

-                  die Gründe für die Verschiebung der Publikation und Einreichung des Geschäftsberichts 2024 zu erwähnen;

-                  die ungeprüften vom Emittenten regelmässig publizierten Schlüsselkennzahlen (Key Figures) wie insbesondere Nettoumsatz, EBITDA, EBIT, Reingewinn/-verlust, Bilanzsumme, Eigenkapital in Bezug auf das Geschäftsergebnis 2024 zu nennen." 

Informal English translation:

I.    The temporary exemption from the publication of the annual report 2024 as well as the submission of this report to SIX SER until Saturday, May 31, 2025, at the latest is approved subject to the following reservation (lit. a) and conditions (lit. b):

a.  SIX SER reserves the right to temporarily suspend trading in the securities of the Company if it does not publish its annual report 2024 by 11:59 pm on Saturday, May 31, 2025, at the latest in accordance with the provisions on ad hoc publicity (art. 53 Listing Rules in conjunction with the Directive on Ad Hoc Publicity) and submit it to SIX SER.

b.  The Company shall publish a media release regarding the present decision by Wednesday, April 30, 2025, 7:30 am at the latest, in accordance with the provisions on ad hoc publicity (art. 53 Listing Rules in conjunction with Directive on Ad hoc Publicity). This media release shall:

-                  contain the full text of Section I of the present decision in a prominent place;

-                  mention the reasons for the postponement of the publication and submission of the annual report 2024; 

-                  mention the unaudited key figures regularly published by the issuer, such as net sales, EBITDA, EBIT, net profit/loss, total assets, and equity in relation to the 2024 results.

The Company publishes the following, preliminary unaudited key figures for the financial year 2024 on a consolidated basis:

These key figures are unaudited and may be subject to change until the annual report is finalized. In particular, a potential impairment on goodwill in relation to C Capital Acquisition Corp could negatively impact EBIT, Net loss, balance sheet total and equity.
