Postponement of publication of annual report 2024 until July 15, 2025, the latest, and potential postponement of annual general meeting

Ad hoc announcement pursuant to Art. 53 LR

May 31, 2025, Basel, Switzerland – Youngtimers AG (SWX: YTME; the "Company") has submitted a second request to SIX Exchange Regulation AG ("SIX SER") to postpone the publication of the annual report 2024 and the filing of such report with SIX SER. The Company has requested an extension until July 15, 2025.

The reason for the request is that the Company is still aligning with its auditors the 2024 consolidated annual financial statements. This stands against the background that, as is well known, the Company acquired C Capital Acquisition Corp. and its subsidiaries in the 2024 financial year. Their consolidation requires a high degree of coordination. In addition, some information from the subsidiaries is still pending which is necessary for the finalization and the audit of the consolidated financial statements.

The request was approved by SIX SER as follows (in German; informal English translation follows):

"I. Die temporäre Befreiung der Publikation des Geschäftsberichts 2024 sowie die Einreichung dieses Berichts bei SIX Exchange Regulation AG bis spätestens Dienstag, 15. Juli 2025 wird unter folgendem Vorbehalt (lit. a) und unter folgenden Bedingungen (lit. b) genehmigt:

     a. SIX Exchange Regulation AG stellt den Handel mit Effekten von Youngtimers AG i.S.v. Art. 57 KR am 2. Juni 2025 vorübergehend ein, bis diese ihren Geschäftsbericht 2024 nach den Vorschriften zur Ad hoc-Publizität (Art. 53 Kotierungsreglement i.V.m. Richtlinie betr. Ad hoc-Publizität) veröffentlicht und bei SIX Exchange Regulation AG einreicht.

     b. Youngtimers AG hat betreffend den vorliegenden Entscheid bis spätestens am Montag, 2. Juni 2025, 7.30 Uhr, eine Medienmitteilung gemäss den Vorschriften zur Ad hoc-Publizität zu veröffentlichen. Diese Medienmitteilung hat:
       – den vollständigen Wortlaut von Ziff. I des vorliegenden Entscheides an prominenter Stelle zu enthalten;
       – die Gründe für die Verschiebung der Publikation und Einreichung des Geschäftsberichts 2024 zu erwähnen." 

Informal English translation: 

I. The temporary exemption from the publication of the annual report 2024 as well as the submission of this report to SIX SER until Tuesday, July 15, 2025, at the latest is approved subject to the following reservation (lit. a) and conditions (lit. b):

     a. SIX SER temporarily suspends trading in the securities of the Company pursuant to Art. 57 Listing Rules on June 2, 2025, until the Company publishes its annual report 2024 in accordance with the provisions on ad hoc publicity (art. 53 Listing Rules in conjunction with the Directive on Ad Hoc Publicity) and submits it to SIX SER.

     b. The Company shall publish a media release regarding the present decision by Monday, June 2, 2025, 7:30 am, at the latest, in accordance with the provisions on ad hoc publicity (art. 53 Listing Rules in conjunction with the Directive on Ad hoc Publicity). This media release shall:
       – contain the full text of Section I of the present decision in a prominent place;
       – mention the reasons for the postponement of the publication and submission of the annual report 2024. 

Considering the delay with the finalization of the annual report 2024, the annual general meeting of the Company, scheduled for June 30, 2025, may have to be postponed. The Company aims to communicate the new date (or confirm the scheduled date) as soon as possible.
